This paper has investigated the main features of corporate governance concerning the Italian non financial listed companies. The empirical research is based on a sample with 52 non financial companies listed at the Milan Stock Exchange (Italy). The corporate governance issues are defined in a wide way, including the ownership and control structures, the composition of the board of directors and the role of non executive directors, the role of banks and employees as potential strategic stakeholders, executive remuneration.
